Terms of service

The agreement

These Terms of Service (“Terms”) are a contract between you and Kliently governing your use of our website, app, and client portal (the “Service”). By creating an account or using the Service, you agree to these Terms. If you're using Kliently on behalf of a company, you represent that you have authority to bind it.

The service

Kliently provides software for managing client work: proposals, contracts, time tracking, invoicing, a client portal, and payment collection through gateways you connect. You retain all rights to the content you create. We grant you a non-exclusive, non-transferable right to use the Service while your account is in good standing.

Accounts & eligibility

• You must be at least 18 and able to form a binding contract.
• You're responsible for keeping your credentials secure and for all activity under your account and workspace.
• You're responsible for the team members and contractors you invite, and for the access levels you grant them.

Your responsibilities

• You're responsible for the legality of the contracts you send and the invoices you issue, including applicable taxes.
• Payment processing happens on your own gateway accounts (Stripe, SSLCommerz, Razorpay, PayPal) under their terms; you're responsible for complying with those terms.
• You agree not to use Kliently for anything unlawful, to send spam or deceptive documents, to infringe others' rights, or to attempt to breach or overload the Service.
• You will keep your client and business data accurate.

E-signatures

Kliently's e-signature captures intent to sign with a full audit trail. Whether a specific document may be signed electronically in your jurisdiction — and whether a simple electronic signature is sufficient — is your responsibility. Please read our e-signature compliance page before relying on it for high-stakes documents.

Billing & plans

Kliently offers a free tier and paid plans. Paid plans renew automatically (monthly or annually) via Stripe until cancelled. By subscribing you authorize recurring charges to your payment method.

• You can cancel any time from Settings → Billing; access continues to the end of the paid period.
• Plan changes take effect at the next cycle unless noted, with proration where applicable.
• Fees are exclusive of taxes, which we add where required.

Intellectual property

The Service, including its software, design, and brand, is owned by Kliently and protected by law. These Terms don't grant you any right to our trademarks or to copy the Service. You keep ownership of your content and grant us only the limited license needed to host and operate it for you.

Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the platform. Where reasonable, we'll give notice and a chance to cure. On termination you can export your data; see our privacy policy for retention details.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, or that it will meet every legal requirement specific to your situation.

Limitation of liability

To the maximum extent permitted by law, Kliently is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the fees you paid to Kliently in the 12 months before the event giving rise to the claim. Some jurisdictions don't allow these limits, in which case they apply to the fullest extent permitted.

Changes & contact

We may update these Terms as the product evolves; we'll announce material changes in-app or by email, and continued use after they take effect means you accept them. Questions? Email support@kliently.app.
